conditions apply to all offers submitted by PaperMints S.A., as well as to all agreements and contracts concluded between PaperMints S.A. and the customer, notwithstanding any contrary stipulation or condition of the customer.<br \/>Every order implies the client\u2019s acceptance without reservations of the present conditions.<\/p><p><strong>Article 2: Offer-Order-Confirmation<\/strong><br \/>2.1 Unless stipulated otherwise, PaperMints S.A. is bound by its offers for a maximum period of one month.<br \/>2.2 All orders are irrevocably binding on the customer and cannot be cancelled, even before they are accepted by PaperMints S.A. Orders are only considered accepted after written confirmation from PaperMints S.A.<br \/>In the event of any discrepancy between an offer and the order confirmation, the customer shall be deemed to have agreed to the contents of the latter if they have not, within eight days of receipt, notified us in writing of their refusal or any reservations they may have.<br \/>Orders recorded by our representatives and decisions made by them are not binding on PaperMints S.A. until they have been confirmed in writing by PaperMints S.A.<\/p><p><strong>Article 3: Prices<\/strong><br \/>The prices indicated in PaperMints S.A.&#8217;s order confirmations are recommended prices.<br \/>Goods and services are invoiced at the price in effect on the date of shipment, namely the date of delivery to the carrier.<\/p><p><strong>Article 4: Periods of delivery<\/strong><br \/>The delivery times indicated are for information purposes only and the customer cannot exercise any recourse in the event of non-compliance with them.<\/p><p><strong>Article 5: Acceptance &#8211; Delivery &#8211; Dispatch<\/strong><br \/>5.1 Shipping and delivery are always at the customer&#8217;s risk, with no liability on the part of PaperMints S.A., as goods are considered delivered as soon as they leave our warehouses and are only received and accepted at our warehouses; This provision applies even if, at the customer&#8217;s request, we transport the goods to a location specified by the customer. In the latter case, taxes, insurance, shipping and packaging costs are charged to the customer by PaperMints S.A. and are subject to these general terms and conditions, in particular the provisions of Article 7. Acceptance also applies to the packaging method used.<br \/>5.2 Each delivery must be accepted by the customer or their representative in writing, by signing the duplicate delivery note.<\/p><p><strong>Article 6: Compaints &#8211; responsability<\/strong><br \/>6.1 All complaints must be made by registered post within 8 days of delivery. International payments must be made to our IBAN account, with no bank charges for us.<\/p><p><strong>Article 8: Force majeure<\/strong><br \/>Cases of force majeure legally release PaperMints S.A. from any liability regarding delivery times, without any obligation to pay compensation. In the event of partial or total interruption of the business activity, PaperMints S.A. reserves the right either to terminate or reduce the contract, or to continue its execution, extended by a period corresponding to the duration of this interruption, without any obligation to pay compensatory damages. In the event that PaperMints S.A. decides to terminate the contract, the customer will be notified by registered letter within one month of the event that led to this decision.<br \/>Except for cases provided for by law, the following shall be considered as force majeure: fires, floods, storms, wars, pandemics, machine breakdowns, strikes, lack of materials or means of transport, lack of personnel, etc., which hinder or prevent production or shipment.<\/p><p><strong>Article 9: Copyright<\/strong><br \/>9.1 Under the legal provisions relating to artistic property rights and unfair competition, all models, designs, and compositions created by PaperMints S.A., regardless of the technique used, remain its property and may not be imitated or reproduced. Reproduction or imitation without prior authorization constitutes counterfeiting or unfair competition. The transfer or invoicing of compositions, films, plates, or negatives does not entail any derogation from the above, unless expressly agreed otherwise.<br \/>9.2 Composition, films, plates,&#8230; are property of PaperMints S.A.<\/p><p><strong>Article 10:<\/strong><br \/>The goods sold remain the property of PaperMints S.A. until full payment of the invoices.<br \/>If a check or other bill of exchange has been sent, only the actual cashing of the check or the collection of the bill of exchange will be considered as payment.<br \/>The delivery of the goods to the client or to the carrier transfers the risks to the customer.<br \/>If the customer refuses to accept delivery for any reason, PaperMints S.A. is entitled to claim all transport and storage costs as well as any other costs or damages caused directly or indirectly by this refusal.<\/p><p><strong>Article 13: Jurisdiction<\/strong><br \/>Any dispute between the parties shall, by express agreement, be subject to the exclusive
